

Withholding tax is tax deducted at the source of payment before money reaches the recipient. In India, this is commonly seen as TDS, where a payer deducts tax while making certain payments such as salary, professional fees, rent, contractor payments, interest, commission, royalty, or payments to non-residents. Instead of waiting for the recipient to pay tax later, the government collects a portion upfront through the person or business making the payment.
For businesses, withholding tax is not just a tax calculation. It is a compliance responsibility. The payer must identify whether a payment attracts TDS, apply the correct section and rate, deduct tax at the right time, deposit it with the government, file TDS returns, and issue TDS certificates. Cross-border payments require added care because domestic tax rules, DTAA provisions, PAN availability, lower withholding certificates, and beneficial ownership documentation can all affect the final withholding rate.
A typical withholding tax workflow includes:
• Identify the nature of payment and applicable tax section.
• Check the recipient type, resident or non-resident.
• Apply the correct rate, including surcharge, cess, treaty rate, or lower deduction certificate where relevant.
• Deduct tax at the time prescribed under law.
• Deposit the deducted amount by the due date.
• File periodic TDS returns and issue certificates to the payee.
Poor classification at the payment stage can create downstream notices, interest, disallowance of expense, or vendor disputes.
Withholding tax directly affects vendor payments, employee payroll, expense accounting, international remittances, cash flow planning, and audit readiness. A business that does not deduct or deposit tax correctly may face interest, penalties, disallowance of expenses, or difficulty reconciling books with Form 26AS/AIS records. For finance teams, the practical goal is to build deduction logic into AP, payroll, and payment workflows so tax is handled before money leaves the business, not after errors are discovered.
